These Terms of Service govern your use of the Sales Boutique website at salesboutique.io and the services provided by Sales Boutique BV, a company registered in the Netherlands with offices in Amsterdam, London, and Cape Town.

By accessing our website or engaging our services you agree to these terms. If you do not agree, please do not use our website or engage our services.

2. Our Services

Sales Boutique provides B2B client acquisition services to businesses across sectors including agencies, manufacturing, venture capital, NGOs, and other B2B organisations. Our services include:

• Outbound prospecting and multichannel campaign management
• AI-powered inbound conversion systems installed on client websites
• Prospect list building and ICP definition
• Messaging strategy and copywriting
• Campaign optimisation and performance reporting

The specific services provided to each client are agreed and documented in a separate client agreement or statement of work. These Terms of Service apply in addition to any such agreement.

3. Using Our Website

When using the salesboutique.io website you agree not to:

• Use the website for any unlawful purpose or in a way that violates any applicable law or regulation
• Attempt to gain unauthorised access to any part of the website or its underlying systems
• Transmit any harmful, offensive, or disruptive content via our contact forms or other website features
• Scrape, copy, or reproduce any content from the website without our express written permission
• Misrepresent your identity or affiliation when submitting enquiries

We reserve the right to restrict access to the website at any time without notice.

4. Intellectual Property

5. Client Services: Key Terms

Where you engage Sales Boutique to provide services, the following terms apply in addition to any specific client agreement.

5.1 Onboarding

Your engagement begins upon execution of a client agreement and receipt of any required onboarding materials. The 21-day launch guarantee period begins from the date we have received all information required from you to begin the campaign build.

5.2 Your obligations

To enable us to deliver results you agree to:

• Provide accurate and complete information during onboarding
• Review and approve prospect lists and messaging within the agreed timeframe
• Respond to qualified conversations and inbound leads within a reasonable timeframe
• Install any required website code or integrations as instructed by our team
• Adhere to the agreed onboarding and review schedule

5.3 Acceptable use of campaigns

You agree that campaigns run by Sales Boutique on your behalf will only be used for lawful B2B commercial purposes. You confirm that the products and services being promoted are legitimate and that you have the legal right to offer them in the territories being targeted.

5.4 Results and guarantees

Our guarantee terms are set out in your client agreement. Where a guarantee applies, it is subject to you fulfilling your obligations under Section 5.2. We are not liable for missed targets caused by your failure to engage with or respond to qualified conversations generated on your behalf.

5.5 Confidentiality

Both parties agree to keep confidential any information shared during the engagement that is not publicly available. This includes campaign strategy, prospect lists, messaging frameworks, pricing, and client performance data. This obligation continues for 24 months following the end of the engagement.

6. Payments

Payment terms are set out in your client agreement. Unless otherwise agreed:

• Invoices are due within 14 days of the invoice date
• Late payments may incur interest at the statutory rate applicable in the Netherlands
• We reserve the right to pause or suspend services where invoices remain unpaid beyond 30 days
• All fees are exclusive of VAT which will be added where applicable

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• Sales Boutique's total liability to you in connection with any services shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim
• We are not liable for any indirect, consequential, incidental, or special damages including loss of profit, loss of revenue, or loss of opportunity even if we have been advised of the possibility of such damages
• We do not guarantee specific commercial outcomes such as a defined number of new clients won or a specific revenue figure generated. We guarantee the delivery of qualified conversations as defined in your client agreement.

Nothing in these terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

8. Indemnity

You agree to indemnify and hold harmless Sales Boutique BV, its directors, employees, and contractors from any claims, damages, costs, or expenses arising from:

• Your breach of these terms or any client agreement
• Your use of our services for any unlawful purpose
• Any claim by a third party arising from content or instructions you have provided to us
• Your failure to comply with applicable laws in the territories where campaigns are run on your behalf

9. Third Party Services

Our services may involve the use of third party platforms and tools including email outreach platforms, LinkedIn, CRM systems, and data providers. We are not responsible for the availability, performance, or policies of these third party services. Changes to third party platforms that affect campaign delivery will be addressed through reasonable alternative approaches where possible.

10. Termination

Either party may terminate a client engagement in accordance with the terms of the client agreement. Upon termination:

• All outstanding invoices become immediately due
• We will cease all campaign activity within five business days of notice
• Each party will return or destroy confidential information belonging to the other party on request
• Prospect lists and campaign assets built by Sales Boutique remain the intellectual property of Sales Boutique unless otherwise agreed in the client agreement

11. Governing Law and Disputes

These terms are governed by the laws of the Netherlands. Any dispute arising from or relating to these terms or our services will be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands, unless otherwise required by mandatory local law.

Where a dispute arises we encourage both parties to attempt resolution through good faith negotiation before commencing formal proceedings.

12. Changes to These Terms

We may update these Terms of Service from time to time. The date at the top of this page reflects when they were last updated. Continued use of our website or services following an update constitutes acceptance of the revised terms.
